ROMGAZ completed formalities for acquiring AZOMUREȘ production activities

  • ROMGAZ priority in the next phase is to integrate the acquired activity with focus on operational efficiency and financial discipline.
  • Future steps aim at resuming production under safety, efficiency and economic sustainability conditions. 

 

Mediaș, September 2, 2026 – SNGN ROMGAZ SA, the largest natural gas producer and the main supplier in Romania, announces completion of formalities related to the transaction for acquiring SC AZOMURES SA production activity, in compliance with the Transfer of Business Agreement signed on May 29, 2026 between ROMGAZ, as buyer, and AZOMURES, as seller. 

Once these formalities were completed, ROMGAZ entered a new phase, focused on integrating the acquired activities and preparing the necessary steps to resume AZOMURES production activities. Given the period during which operations were suspended, resuming production requires completing certain preliminary technical steps, including assessing the condition of the facilities, conducting the necessary inspections and tests, performing maintenance and repairs where necessary, and verifying safety systems, with a view to a phased and safe restart.

AZOMURES activity will be integrated in line with ROMGAZ strategic objectives and financial discipline principles, with a focus on the efficient use of resources and the creation of long-term value. 

With this transaction, ROMGAZ strengthens its vertical integration strategy and lays the grounds for developing a value chain in which natural gas produced in Romania can be transformed into value-added industrial products.

The steps we will undertake are aimed at preparing to resume production and will be carried out rigorously and in stages, with particular attention to the safety of employees, facilities and the entire industrial operation. Throughout the transaction process, ROMGAZ received specialized advisory support covering the analysis, structuring and completion of the deal, ROMGAZ was advised by KPMG Advisory SRL as financial consultant, CMS Cameron McKenna Nabarro Olswang LLP SCP as legal consultant, and TÜV Austria România as technical consultant. Involving advisors with expertise in complex transactions supported the rigorous evaluation process of relevant financial, legal and commercial aspects, underpinning transaction decisions.
